Article 1 | Definitions and Constructions
Business: For purposes of this Agreement, "Business" means providing Scrum Master training, coaching, branding, and mentorship to IT Professionals or individuals online or in person, that are provided under this Agreement and are not otherwise publicly available or known by Student prior to the date of this Agreement.
Commencement: Company shall commence Program on the Effective Date of this Agreement. Student’s obligations set forth in the Agreement shall commence on the Effective Date of this Agreement.
Termination: All sales are final, with the exception of the 7-day refund policy provided for in this agreement. The Student is expected to participate and follow the instructions and guidance given by the Admins, Coaches, and Mentors.
Disclosure: Student understands that he/she/they need to have access to the internet and an email address to access resources. Student also understands that his/her/their personal success from this program will be a result of his/her/their own efforts. Student further acknowledges that individual results vary based on backgrounds, education, and experience. Student has based his/her/their decision to purchase on their own desire and not on any express or implied earnings claims.
Confidential Information: For purposes of this Agreement, “Confidential Information” means information possessed by Company relating to the Business, and its business activities which is used or is useful in the conduct of Company’s business, or which confers or tends to confer a competitive advantage over one who does not possess the information.
Article 2 | Program Elements
Deliverables: As a part of the Agreement, Student will have access to the following information, products, and resources.
Dismissal: Company retains the authority to dismiss Student from the program immediately if Student exhibits disruptive behavior, disrespect towards others, or any interference with the learning environment or safety of any student or Company member. This action will be taken without offering any refund or compensation.
Guarantee: MentorMe does not guarantee placement in a Scrum Master role or any other job. That is beyond the control of the Company and is directly correlated to the efforts of the Student.
Relationship: This Agreement does not create an employment, partnership, or joint venture relationship between Student or Company.
Article 3 | Payment
Payment: Student agrees to pay Company for Program as agreed upon during the sales consultation and as may be more particularly set forth or attached as a part of Article 2.
Refunds: Refund Policy: 7 days from first payment date.
Chargeback: Student agrees not to request, advise, file a claim, or seek Student’s bank or credit card company for a chargeback for consideration paid under this Agreement.
Non-payment (Collections): If the Student account remains delinquent (non-payment) for 90 days, Company reserves the right to report the student to collections to recover the unpaid balance.
Article 4 | Confidentiality and Non-Disclosure
Non-Disclosure: During the Term of the Agreement, and always thereafter, Student shall maintain the strictest confidence. Student shall never disclose, copy, share, disseminate, transfer, convey, sell, or discuss, directly or indirectly, to any person or entity other than the Parties to this Agreement, Company’s copyright information, trade secrets, intellectual property, or other Confidential Information, except by express prior written consent of a duly authorized officer or director of Company.
Non-Compete: Student agrees that during the Term of this Agreement, and for a term of twelve (24) months thereafter, Student shall not compete in any way with Company.
Non-Solicitation: During the Term of this Agreement and for a period of twenty-four (24) months after the date of termination of this Agreement, Student will not in any way, directly or indirectly, induce or attempt to induce any employee, independent contractor, agent, consultant, customer, or Student of Company to terminate its relationship with Company.
Article 5 | Indemnity
Disclaimer: In no event shall company be liable to Student for consequential, incidental, punitive, or special damages, including, without limitation, lost profits or lost opportunity damages.
Acknowledgment of Student Responsibility: Although Company has full confidence in the efficacy of the Program contemplated in this Agreement, Company makes no guarantee of any specific result for Student based upon the program that it is providing.
Article 6 | Miscellaneous Provisions
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.
Acknowledgement: You acknowledge that success is dependent on a number of factors, including, but not limited to, attitude, persistence, and full participation in all phases of the Program.
Assignments: This Agreement shall be assignable by Company to any of Company’s affiliated entities.
Non-Sponsorship Clause: MentorMe does not provide, assist, or engage in any form of sponsorship for work visas, including but not limited to H-1B visas, or any other visas that allow individuals to work in the United States.
